$IMXI Let's connect the dots here on possible outcomes on this now MASSIVE 55% arbitrage deal: (1) Nov 10th walk deadline comes without re-approvals/any done deal & deal falls apart, (2) California DFPI re-approves deal & SEC re-approves anti-trust review & deal goes through by Nov 10th, (3) Both WU & IMXI approve new possible extension of Nov 10th walk deadline & deal re-approval efforts continue, (4) WU and IMXI decide to abandon deal/pay penalties & seek other path, or (5) Hidden motives are at play here by bad players trying to delay/kill this deal (as possibly evidenced by the "sudden" August 13th California DFPI approval reversal within hours of New York's approval). My opinion is that all involved lose, to include California, if this deal falls apart after 14+ months of work. Option #5 could sadly be the case, though. I am still optimistic for option #2 or #3 being in play, but #4 is possible now. The 175 year old WU know this environment well, that is for sure.

$IMXI There's was just some good news for that Western Union and Money Express had done some work together. This news happening now, near October 16th option expiry, seems selfish. We already knew that California department of financial protections and innovation had paused the approval.

$IMXI MORE > International Money Express, Inc. (IMXI) and Western Union each filed new Premerger Notification and Report Forms under the HSR Act on October 2, 2026, for their proposed merger. The filing starts a new 30-day waiting period, and both companies requested early termination. The prior HSR waiting period expired on October 6, 2025, and its clearance is effective for one year; a new filing is required for the merger to close after October 6, 2026. The companies continue discussions with the DFPI about reinstating its approval, and based on those discussions they do not expect reinstatement before October 6, 2026. The merger remains subject to expiration or termination of the new HSR waiting period, reinstatement of DFPI approval, and satisfaction or waiver of the other merger-agreement conditions. Under the agreement, Merger Sub would merge into International Money Express, which would survive as a wholly owned subsidiary of Western Union.

$IMXI CA gains nothing by not approving … you would think they asked similar things as NY did, and I really wonder and don’t understand why this is taking so long … is WU actually moving to get deal done with CA? or just delaying for time to run out?? thoughts please

$IMXI Intermex closed down 14.2% Monday at 10.87. Western Union agreed to buy it for 16 a share in cash, back in August 2025. Monday's leg down was a CTFN report on the California holdup. The DFPI suspended its approval extension in August, and CTFN says that may trace to new leadership at the agency overseeing it, Rohit Chopra, sworn in July 1, rather than California trying to copy New York's concessions. The calendar is tight now. The parties refiled their HSR notice on Oct. 2, starting a fresh 30-day clock, and Nov. 6 is a walk date, either side can exit with no penalty. At 10.87 the stock sits about 32% below the deal price. Standalone, Q2 revenue was 131 million dollars, down 18.6% YoY.
