$SLN Silence Therapeutics Enters into Agreement to be Acquired by Merck KGaA, Darmstadt, Germany

$SLN SLN more than doubled, near 19.58, up about 125.63 percent, after Merck KGaA agreed to buy Silence Therapeutics for cash. The price is 20 dollars per ADS. That's a 130 percent premium to Friday's close and 82 percent above the 30 day average price. The deal values Silence at roughly 1.3 billion dollars in equity, or 1.1 billion in enterprise value, and Silence's board approved it unanimously. Shareholders holding about 14 percent of the voting rights are also lined up behind it. The deal is subject to customary closing conditions. With the stock at 19.58 against a 20 dollar payout, the market is pricing a high chance it closes, with a small spread for timing and deal risk. $SLN I must learn from this. The stock was ridiculously wrongly priced by the market. I said it should be 20-25. I must learn that if you are the best in a narrow field, you can get bought out after ph2. It is dead obvious this is going to succeed in ph3. FUCK.

Another Monday, another buyout nobody wanted to price in $SLN closed Friday at $8.68. Merck KGaA is paying $20 cash, about $1.3B for the whole thing, and it's trading $19.57, up 125 percent. divesiran did that. $SLN this price action is depressing to watch. Got out in the 12s, but could have gotten out at 15+. Bad call from me. Market is underestimating the value of this one. Probably dead money for some time now however. Ph3 will be good.

Merck KGaA agreed to acquire Silence Therapeutics in an all-cash transaction valuing the biotech at approximately $1.3 billion in equity value and $1.1 billion in enterprise value. Under the agreement, Silence shareholders will receive $20 per American Depositary Share (ADS), with each ADS representing three ordinary shares. The offer represents a 130% premium to Friday’s closing price and an 82% premium to the 30-day volume-weighted average price of $10.99. Silence’s interim CEO and board chairman, Iain Ross, said the deal resulted from a competitive sale process and delivers significant, immediate and certain value to shareholders. The company’s board unanimously approved the transaction, while investors representing approximately 14% of its voting power have signed agreements committing to vote in favor. The acquisition will be implemented through a UK scheme of arrangement under Part 26 of the Companies Act 2006. $SLN
