$ADGM What is the difference between companies like these and Chinese firms often labeled as fraudulent? The outcome is the same: the loss of your money. In fact, these companies are even worse than Chinese firms—with the latter, you operate from a position of mistrust, whereas here, you place your trust in them and invest based on their promises, only to find that at the first sign of a crisis, small shareholders are the first to be sacrificed.

$ADGM I learned another life lesson - if the executive team has a Harvard or Wharton background - do not invest in it - your money is considered their personal money, in my opinion.

$ADGM I accept it - it is an obsolete technology. Only have 1k shares left - not worth selling - will paper a wall with it. Are all CEO's evil or just incompetent?

$ADGM is a Delaware corporation, so the Board’s actions are governed by Delaware fiduciary law. In simple terms, directors are expected to: • Act on an informed basis and understand the material economic consequences of transactions they approve. • Act loyally and in good faith for the corporation and its stockholders, particularly where insiders, lenders or other parties may have interests different from common shareholders. • Evaluate conflicts and use an appropriate independent process where conflicts exist. • In an actual sale-of-control process, seek the best value reasonably available to stockholders under Delaware’s Revlon framework. The question isn’t just whether the today’s actions are legal. The question is: Did the Board understand this consequences, model them, consider the effect on shareholders, and approve the change in terms through an informed and appropriately independent process?

$ADGM Look at website - little d-s company has 4 C level , couple of SVP, like 9 Executives to stroke each other - I bet the separation packages for these slugs wipe out the rest of stare holder value.

$ADGM If you knew anything about Pulse Field Ablation (PFA) you would understand why Adagio could not raise the capital needed to continue. All of the bigs, J&J, Boston Sci, Medtronic, Abbott, have developed new PFA technologies for Afib & VT ablation. Cryo is obsolete

$ADGM .. $.21 .. THE chairperson of the $ADGM Board of Directors is the managing director for Perceptive Advisors who (Perceptive) own 50% of the company! They also have another Perceptive Advisor Director on the board.🤔 I think Perceptive could use this shell to spin it out again w/ the financing they need from their original backers. Perceptive, Adar1, & Sio.

$ADGM Adagio's tech has clear value, which is why the board is explicitly looking for a merger, corporate acquisition, or outright asset sale. The Best Case: A major medical device player (like Boston Scientific or Medtronic) buys Adagio out for its ULTA patent portfolio, potentially offering a premium on the depressed stock price.

$ADGM Sorry Longs. Maybe the best time to buy is around Xmas (tax loss season) and hope for a buyout.

$ADGM I’m sending IR/the Board an information request regarding today’s conversion-price change, including the Section 5(b) Change of Control economics, independent Board review, dilution analysis and Nasdaq treatment. If you’re an ADGM shareholder and would simply like to be CC’d on the request and any potential response, feel free to DM me your email address.

$ADGM One potentially very important question in today’s filing: Section 5(b) of the Senior Secured Notes calculates the Change of Control Redemption Price using, among other things, the “Conversion Price then in effect.” ADGM just temporarily replaced the $10 conversion price with a floating price equal to 85% of the lowest 5-day VWAP. So does this reduced price now count as the “Conversion Price then in effect” for Section 5(b)? If yes, this isn’t just a dilution issue. The reset could materially increase what noteholders are entitled to receive in a sale or other Change of Control. Given ADGM simultaneously announced a strategic-alternatives process, shareholders need this clarified. And if the answer is yes, the Board should explain why it chose to modify the conversion economics in a way that could materially benefit noteholders, including Perceptive, the company’s controlling shareholder, immediately before or during a strategic transaction process.

$ADGM There has been continuous unusual trading in this stock’s order book since yesterday. It looks like someone is deliberately trying to push the stock price down hard to prevent it from rising.

$ADGM Short-selling volume has increased massively for over a week, but if it gets enough public attention, it could become like GameStop.
