$GENK GEN is selling operations at 47 of its U.S. restaurants to Chubby Group for 100 million dollars, and keeping the brand plus the CPG business. The sale price is almost double the whole market cap, which was about 55.7 million dollars at today's close. The balance sheet part is bigger. The deal is expected to cut roughly 160 million dollars of lease liabilities and let the company eliminate its outstanding debt. Stock opened at 2.47 and closed at 1.69, up 16.6%. The handover runs in four phases over 12 months, and GEN keeps the operating profits until each takeover completes.

GEN Restaurant Group signed a binding letter of intent to sell the operations of 47 U.S. restaurants to Chubby Group for $100 million. GEN will retain ownership of its brand and Korean packaged consumer-products business, as well as approximately three restaurants for training, staffing, and product R&D. The transaction is expected to strengthen GEN’s balance sheet by substantially reducing its approximately $160 million in lease liabilities and eliminating outstanding debt. Additional capital could support growth investments, dividends, or share buybacks. The transfer will occur in four phases over 12 months, with Chubby funding restaurant conversions and renovations while GEN retains operating profits until each handover. Following completion, GEN may convert any outstanding balance on a term note into Chubby Group shares at a $1.5 billion valuation. $GENK Is GEN going to be a prominent supplier for Chubby Group? Seems like they have had a good working relationship, since Chubby liked the joint venture locations enough to decide to buy up all the restaurant locations.

$GENK I hope they close/cancel the share offering. It seems like it would be the wise thing to do now that they announced their intention of selling the restaurants. Just a fraction of the restaurants proceeds would wipe out the debt, after all. And of course, being able to exit the lease liabilities.

$GENK Not sure what I will do yet long term, but I'm still holding for now. I didn't sell when this pumped to the $2.70's during after hours on the initial buyout offer news a few months ago, so I'm definitely not selling right now.
