$GPRO The proxy delay is not delayed because of some convenient reason. it’s just disclosures. They’d like to say nothing publicly about starman, its a sensitive thing. If they were taking the company private it would be different. the problem is, the value of that 10% is significant. without it, the deal price is likely to triple. If the deal was dead you’d find out today or tomorrow. you won’t the deals going through, and this is now the buy of a lifetime.

$GPRO all day I have been thinking about proposal 4 and I guarantee they will do a reverse split as some point. It won’t change much but it will give starman a higher starting price and more shares to issue in the future or obtain funding. They can’t start off their public trading at penny stock level.

$GPRO Quick take on the 8-K: - The proxy delay is explained: GoPro found debt-accounting errors while preparing it. Non-cash, no impact on revenue, cash or EBITDA. - Before the PREM14A, they need restated financials (10-K/A + 10-Q/As). Q2 numbers go stale around Nov 12, so the proxy may wait for Q3. - My guess: proxy mid-to-late Nov, close Q1 2027. The Dec 31 outside date likely needs an extension. Watch for: remaining lender waivers, and whether any merger amendment keeps the $1.14.

$GPRO why did they hold that story till market closed? When I say they never release catalyst during market hours, do you see wtf I mean? Why did they wait all day? BS. Monday we blast off, shorts play all you want!

$GPRO Everyone having a bit real life experience with M&As knows that every error or bad Information will be used to re-negotiate the price down. Not saying the deal is falling off, but now you have uncertainty and uncertainty means stock price will drop. Glad I left this, although I still believe in the longterm opportunities in GoPro itself, but not with Woodman in leading role.

$GPRO I feel like there's no hope left. I've held on and waited for months. Even though it was only a preliminary proxy and a disappointing one, since it had little information on Starman, the proxy I'd been waiting for finally came out, and it cleared up my doubts about the merger. Yet looking at today's price action, this looks like a stock that can't go any higher. Is there any upside catalyst left here? Volume being lower than usual is scary too. That's a very negative sign, isn't it?

$GPRO Overall, today's filings are encouraging for transaction completion, but they do not yet establish the economic value of the combined business.

$GPRO ya don’t know. Sometimes things can happen out of nowhere without explanation. Who would expect a second offer today? Nobody? Have shorts still got whiplash from the two months ago, when we went over $2 on half a billion in volume? Eyes wide open, the pre proxy can be hiding a second offer.

$GPRO the best news coming out of the proxy is that bum Nick Woodman will be fired as CEO and not on the board of the new company.

$GPRO There’s nothing to see until maybe october 29th. There’s unlikely to be any news. Don’t waste your energy on price action, its likely the best time to buy considering earnings is also nov 5th. You won’t see a definitive proxy until the 29th at least.

$GPRO hopefully now we have some clarity on the proxy delay the price will stabilise and the 10% equity will actually be taken into account lets see

$GPRO somehow felt more positive when this was around .6-.7. I guess the merger announcement killed my hope for a squeeze or a whipsaw upward. I’m coping, and not selling. Just concerned.

$GPRO the borrower have to pay the 1,14$ a share + 0,1 share in the combined new company that could be a problem for the shorts same problem happened when they created $CXAI first with a crash and after a 50x spike this is not going to be that dramatic but it could still be a huge problem for shorts because they’ve to deliver something they not can buy B4 I know last time with CXAI they delivered the stock to late to many people including me and if people didn’t sell they took them back from some retail and gave it to another person that’s how corrupt the USA 🇺🇸 stock exchange is in the years after the coronavirus collapsed the world and the manipulation is only getting worse in small companies 🤔🤷‍♂️ Best of luck to everyone 😘🤞🏦 I’m still expecting buying more shares but only on dips or a uptrend 📉📈🧐✌️

$GPRO My view: after working capital adjustments prior to closing, cash stub is likely $1.00-$1.10 (Dec 31 vs. Jan 31). Risk of transaction break decreased from 25-30% to 10-15%. Consequences of break worse than previously thought, bringing break risk with worse consequences. Can't assume New Photonics business included anymore, likely not. Coin flip if its included, but expect more dilution if added. Stub should be valued on GPRO alone, which I think a conservative valuation $225MM , just over $.10 per share. I think a conservative FMV is around $1.13 to $1.14 per share. This also considers that post merger entity pivot into defence and AI adds no new value. Realistically, either a new photonics addition or pivot into drones/defence would require significant dilution, that would still likely provide upside from current prices. If you can't model it, then don't.

$GPRO Besides being bearish or bullish, the lack of communication with shareholders is a major issue.

$GPRO who gets paid the $1.14 for borrowed short shares? Do the pay the borrower of the person who lent out the shares?

$GPRO Did this dip under 1.14 USD ? Knowledge of the deal falling apart would be the only fundamental thing imho, which would let a break under 1.14 happen ...
